Integrating Company Law and Contractual Business Payments in China Workshop

Dear Members and Friends of SwissCham,

We are excited to extend an invitation to our upcoming Integrating Company Law and freezing proceedings Workshop with Rödl & Partner China and Global Law, scheduled for April 18 at the German Center in Beijing from 17:00 (Beijing Time).The event will be accessible both in-person and remotely.

On 29 December 2023, China enacted its substantially revised Company Law. It now contains 266 articles with sweeping changes in many areas and will take effect on 1 July 2024. Another important deadline is 31 December 2024, by which time older foreign-invested enterprises must adjust their organizational form and other aspects.

The workshop focusing on the last update on company law and freezing proceedings, exploring the application of company law in corporate operations and the importance of enforcement in ensuring legal compliance and contractual obligations. By combining these two legal topics, participants can gain a deeper understanding of the impact of law on businesses and learn how to effectively address legal challenges and to get paid.

Mr. Ralph Koppitz, lawyer and partner of Rödl & Partner China, will introduce the main changes of the new Company Law, including the mandatory obligations for older companies to revise their organizational form, organizational structure, etc.

Mr. John Liebeskind, an Attorney based in Geneva, will address the effective methods of how to get paid in contractual business in China and commencement procedures for receiving payment. Additionally, he will discuss the bilateral laws and regulations between Switzerland and China helping the proceedings. Furthermore, he will explore the implications of China's recent accession to the Apostille Hague Convention and how it can facilitate these proceedings.
